69.7% of the share capital was represented at the 35th Annual General Meeting on June 27, 2024. The proposals of the Board of Directors were entirely approved:

  • Approval of the Annual Report 2023/24, the compensation report as well as acknowledgement of the auditors' reports
  • Appropriation of accumulated losses and carry forward to new account
  • Distribution of CHF 1.00 per registered share from statutory capital contribution reserves
    (ex-date 01.07.2024)
  • Discharge of the members of the Board of Directors and the Executive Board
  • Election of the existing members of the Board of Directors, Dr. Markus Wesnitzer, Nicolas Gross, Yves Rossier and David C. Schärli
  • Election of Dr. Markus Wesnitzer as Chairman of the Board of Directors
  • Election of the existing members of the Nomination/Compensation Committee (NCC)
    Dr. Markus Wesnitzer, Nicolas Gross, Yves Rossier and David C. Schärli
  • Re-election of SWA Swiss Auditors AG
  • Re-election of the independent Proxy
  • Amendments to the Articles of Association due to the revised Corporate Law, including additional editorial amendments
  • Approval of compensation for the Board of Directors and the Executive Management

The term of office of all elected representatives is one year and ends at the next ordinary Annual General Meeting in 2025.
